• Technical support and maintenance services

Specific service details, deliverables, timelines, and pricing will be outlined in individual service agreements or project proposals.

3. Service Agreement and Scope

Before commencing any project, we will provide a detailed proposal outlining:

• Scope of work and deliverables
• Project timeline and milestones
• Pricing and payment terms
• Technical requirements and responsibilities

Services will only begin after mutual agreement and acceptance of the proposal.

4. Payment Terms

• Invoicing: Invoices will be issued according to the agreed payment schedule
• Payment Methods: We accept bank transfers, credit cards, and other approved payment methods
• Payment Schedule: Payment terms vary by project and will be specified in the service agreement
• Late Payments: Late payments may result in service suspension and may incur additional fees
• Currency: All prices are quoted in Malaysian Ringgit (MYR) unless otherwise specified

5. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to requests for information in a timely manner
• Provide necessary access to systems, platforms, and accounts
• Review and approve deliverables within agreed timeframes
• Make payments according to the agreed schedule
• Comply with all applicable laws and regulations

6. Intellectual Property Rights

Client-Owned Content: You retain all rights to content and materials you provide to us.

Work Product: Upon full payment, you will receive the agreed-upon rights to deliverables as specified in the service agreement. This typically includes:

• Custom code and configurations developed specifically for your project
• Documentation and training materials

F.A.D.S Proprietary Tools: We retain ownership of our proprietary frameworks, tools, methodologies, and pre-existing intellectual property used in service delivery.

7. Confidentiality

We respect the confidentiality of your business information. We will not disclose your confidential information to third parties except as necessary to provide services or as required by law. Both parties agree to maintain confidentiality of sensitive information shared during the engagement.

8. Service Modifications and Termination

Modifications: We reserve the right to modify, suspend, or discontinue services with reasonable notice.

Termination by Client: You may terminate services according to the terms specified in your service agreement. Cancellation fees may apply.

Termination by F.A.D.S: We may terminate services if you breach these terms, fail to make payments, or engage in prohibited activities.

9. Warranties and Disclaimers

We warrant that services will be performed in a professional manner consistent with industry standards. However:

• Services are provided "as is" without guarantees of specific results
• We do not warrant that services will be uninterrupted or error-free
• We are not responsible for third-party services, platforms, or integrations
• AI and automation results may vary based on data quality and business conditions

10. Limitation of Liability

To the maximum extent permitted by law, F.A.D.S shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the total amount paid for services in the preceding 12 months

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold F.A.D.S harmless from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any third-party rights
• Content or information you provide to us

12. Data Protection and Privacy

Our collection and use of personal information is governed by our Privacy Policy. We comply with applicable data protection laws and implement appropriate security measures to protect your data.

13. Third-Party Services

Our services may integrate with third-party platforms and tools. We are not responsible for the availability, functionality, or policies of third-party services. Your use of third-party services is subject to their respective terms and conditions.

14. Force Majeure

We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or technical failures.

15. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Malaysia. Any disputes shall be resolved through:

• Good faith negotiation between the parties

• Legal proceedings in the courts of Malaysia, if necessary
